Strymphony builds technologies and services that enables people to grow in the field of music. The Terms and Conditions governs the use of services mentioned on www.strymphony.com. The terms and conditions mentioned here represents the Agreement and understanding between the Strymphony Music Entertainment Pvt. Ltd. and the individual or entity using our website.

PLEASE READ THE TERMS AND CONDITIONS CAREFULLY. By submitting your application and by use of any service, you agree to comply with all of the terms and conditions mentioned in this Agreement. Strymphony Music Entertainment Pvt. Ltd.  may terminate your participation/access anytime, with or without any prior notice, for the conduct that is in breach of this Agreement or for the conduct that is harmful for www.strymphony.com  business or for the conduct where any use of service is harmful for any other party.

Strymphony Music Entertainment Pvt. Ltd. may, in its sole discretion, change or modify these Terms and Conditions, with or without any prior notice. Any changes or modification made shall be applicable for all users using our website. You are responsible to read this policy from time to time to ensure that your use of the service remains compliant with this Agreement.

Accordingly, User agrees to review the Agreement periodically, and User access or use of this website after the amendments and/ or modifications of this Agreement shall be deemed to be User’s acceptance of the amended and/ or modified Agreement.

The Site may include links to other websites or applications (each, a “Third Party Site”). Unless otherwise noted, Sony Music does not operate, control or endorse any information, products, or services on any Third Party Site. You agree that we are not responsible for the availability or contents of any Third Party Sites and that your use of any Third Party Site is at your own risk.

7. Indemnification

1. You agree to indemnify, defend and hold harmless SME  and its affiliated companies, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including but not limited to reasonable attorneys’ fees, resulting from (i) your access to or use of the Site, (ii) your violation of the Terms, (iii) your use of any products or services purchased or obtained by you in connection with the Site, or (iv) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. SME  reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you.
   
2. User is prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, racial, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate the law. SME shall fully cooperate with any law enforcement authorities or court order requesting or directing SME to disclose the identity of anyone posting any such information or materials.
   
3. User will indemnify and defend and hold Strymphony Music Entertainment Pvt. Ltd., its parents, subsidiaries, affiliates, officers and employees and agents, harmless, from and against any and all costs, losses, claim or demand, losses, damages and liabilities, including costs and attorneys’ fees, made by any third party due to or arising out of User’s access to the website, use of the Services, the violation of this Agreement by User, or the infringement by User including, without limitation, copyright and trademark infringement, obscene or indecent postings, and on-line defamation, or any third party using the User’s account, of any intellectual property or other right of any person or entity.

8. Registration and Security

1. As a condition to using certain Services, User may be required to register with SME and select a password and User name, e-mail id or mobile number, or all of them (“SME User ID”). User shall provide SME with true, accurate, complete, and updated registration information. User may even be required to give other information as may be required. User shall refrain from impersonating or falsely representing User’s affiliation with any person or entity. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of User’s account.
   
2. User may not select or use as a SME User ID, mobile number and/or mail id, a name, number and/or mail ID of another person with the intent to impersonate that person; or use as a SME User ID a name subject to any rights of a person other than User without appropriate authorization. SME reserves the right to refuse registration of, or cancel a SME User ID in its discretion.
   
3. User shall be responsible for maintaining the confidentiality of User’s SME password. If there has been a disclosure of your username and/or password, you agree to notify us promptly of such disclosure, so that SME can take appropriate security measures and provide you with a new username and password. Except with the prior written permission of Strymphony Music Entertainment Pvt. Ltd., User agrees to refrain from accessing or attempting to access password protected, secure or non-public areas of this website.
   
4. Unauthorized individuals attempting to access prohibited areas of this website may be subject to prosecution. We may suspend or cancel your registration immediately at our sole discretion without giving you any reasons.

9. Limitation and Liability

In no event shall Strymphony Music Entertainment Pvt. Ltd., its subsidiaries, affiliates, associate companies, consultants, partners and/or its respective suppliers be liable with respect to the website, Content or the Services for any amount in the aggregate in excess of the fees paid by User therefore; or for any indirect, incidental, punitive, or consequential damages of any kind whatsoever including but not limited to loss of use, revenue or profit, goodwill, use, data or other intangible losses arising out of or in any way connected with the use of this website, Content, Services or this Agreement or with the delay or inability to use this website, or for any information, materials, Content and Services obtained through this website, or otherwise arising out of the use of this website, whether based on contract, tort, negligence, strict liability or otherwise, even if Strymphony Music Entertainment Pvt. Ltd., its subsidiaries, affiliates, associate companies, consultants, partners and/or its respective suppliers has been advised of the possibility of damages. If the User is dissatisfied with any portion of the SME website, Content and/ or Services or with any of these terms of use, User’s sole and exclusive remedy is to discontinue using SME website, Content and/ or Services.

10. Fee and Payments

Some of the Services may require payment of fees. User shall pay all applicable fees, as described on the website in connection with such Content and/ or Services selected by User. SME reserves the right to change its price list and to institute new charges at any time, which may be sent by email, SMS or posted on the website. Use of the Content and/ or Services by user following such notification constitutes User’s acceptance of any new or increased charges.

11. Termination

SME may terminate or suspend any and all Services and access to the website immediately, without prior notice or liability, if User breaches any of the terms or conditions of this Agreement. Any fees paid hereunder are non-refundable. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

12. Miscellaneous

The failure by SME to exercise in any respect any right provided herein shall not be deemed a waiver of any further rights hereunder. SME shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Strymphony Music Entertainment Pvt. Ltd.’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub licensable by User. This Agreement shall be governed by, construed interpreted, and enforced in accordance with the laws of India. Notwithstanding the foregoing, nothing in this legal notice will preclude SME from applying to any court to bring an action for the infringement of its intellectual property rights.  No agency, partnership, joint venture, or employment is created as a result of this Agreement and User does not have any authority of any kind to bind SME in any respect whatsoever.
